 PLEASE READ THIS TERMS OF USE AGREEMENT CAREFULLY BEFORE USING THIS SITE. REMEDEE FOUNDATION (“REMEDEE FOUNDATION,” “WE,” “US”) PROVIDES THIS WEB SITE AND ALL SITE-RELATED SERVICES (COLLECTIVELY, THE “SITE”) SUBJECT TO YOUR COMPLIANCE WITH THE TERMS AND CONDITIONS SET FORTH IN THESE WEBSITE TERMS OF USE (THE “AGREEMENT”). THIS AGREEMENT GOVERNS THE RELATIONSHIP BETWEEN REMEDEE FOUNDATION AND YOU, THE SITE VISITOR AND/OR MEMBER (“YOU”) WITH RESPECT TO YOUR USE OF THE SITE. IT IS IMPORTANT THAT YOU READ CAREFULLY AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT. BY USING THE SITE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, PLEASE DO NOT USE THE SITE. REMEDEE FOUNDATION CAN CHANGE THIS AGREEMENT AT ANY TIME BY POSTING A CHANGE NOTICE WITH THE UPDATED TERMS OF USE ON THIS SITE AND WE MAY SEND REGISTERED USERS AN EMAIL NOTICE OF THE CHANGES. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOU SHALL CEASE USING THIS SITE. IF YOU DO NOT CEASE USING THIS SITE, YOU WILL BE CONCLUSIVELY DEEMED TO HAVE ACCEPTED THE CHANGE.

Further, Remedee Foundation reserves the right, at any time, to modify or discontinue, temporarily or permanently, the Site (or any part thereof) without notice. You agree that Remedee Foundation shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site, or of any Materials (as defined below).

To participate or register on this Site, you must have participated in one of Remedee Foundation’s programs as a student or mentor and by participating or registering on this Site, you represent and warrant that you have participated in one of Remedee Foundation’s programs as a student or mentor.

1. Remedee Foundation’s Proprietary Rights. The information and materials provided through the Site (the “Materials”) that are not Submissions (as defined below) are intended to educate and inform you about Remedee Foundation and the services and resources it provides. You acknowledge and agree that the Site and the Materials are and shall remain the property of Remedee Foundation and/or its licensors, and are protected by copyright, trademark, and/or other proprietary rights and laws. Except as expressly authorized in advance by Remedee Foundation, you agree not to copy, distribute, transmit, display, perform or create derivative works of the Site or any of the Materials, provided that, subject to your compliance with this Agreement, Remedee Foundation does grant to you a limited, personal, revocable, non-transferable and non-sublicensable license to (a) access the Site and the Materials via the Internet solely for purposes of viewing such materials and (b) to print out pages of this Site for your personal, non-commercial use. The trademarks, logos, and service marks displayed on the Site (collectively the “Trademarks”) are the registered and unregistered trademarks of Remedee Foundation, Remedee Foundation’s licensors and suppliers, and others. Nothing contained on the Site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark without the express written permission of Remedee Foundation, Remedee Foundation’s licensors or suppliers, or the third party owner of any such Trademark.

2. Rules of Conduct. You agree to comply with all applicable laws, rules and regulations in accessing and/or using the Site and/or any Materials. In addition, your use of the Site is conditioned on your compliance with the following rules of conduct. Without limitation, you agree not to:

  • Use the Site for any fraudulent or unlawful purpose.
  • Impersonate any person or entity, including, but not limited to, any Site employee, agent, or representative; falsely state or otherwise misrepresent your identity or your affiliation with any person or entity; or express or imply that we endorse any statement you make.
  • Interfere with or disrupt the operation of the Site, or use any kind of automated tool, including but not limited to scripts, bots and other software, to try to collect information from the Site or to break into any of its servers.
  • Transmit or otherwise make available in connection with the Site any virus, worm, Trojan Horse, or other harmful code.
  • Restrict or inhibit any other person from using the Site, including by means of hacking or defacing any portion of the Site.
  • Interfere with or violate any other Site visitor's or user's right to privacy or other rights, or harvest or collect personally identifiable information about Site visitors or users, or about Remedee Foundation, or its employees and representatives identified on the Site, without their express consent.
  • Sell, resell, transfer, license, or exploit for any commercial purposes any use of or access to the Site or the Materials.
  • Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Site or Materials.
  • Frame or mirror all or any part of the Site without our prior express written authorization.

When submitting Submissions to or otherwise using this Site and/or the services, you agree not to, without limitation:

  • Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
  • Use racially, ethnically, or otherwise offensive language.
  • Discuss or incite illegal activity.
  • Use explicit/obscene language or solicit/post sexually explicit images (actual or simulated).
  • Post anything that exploits children or minors or that depicts cruelty to animals.
  • Post any copyrighted or trademarked materials without the express permission from the owner.
  • Disseminate any unsolicited or unauthorized advertising, promotional materials, 'junk mail', 'spam', 'chain letters', 'pyramid schemes', or any other form of such solicitation.
  • Use any robot, spider, scraper or other automated means to access the Site.
  • Post your phone number or mailing address to the Site.

This list of prohibitions provides examples and is not complete or exclusive. Remedee Foundation reserves the right to (a) terminate your access to your account, your ability to post to this Site (or the services) and (b) refuse, delete or remove any Submissions; with or without cause and with or without notice, for any reason or no reason, or for any action that Remedee Foundation determines is inappropriate or disruptive to this Site or to any other user of this Site and/or services. Remedee Foundation may report to law enforcement authorities any actions that may be illegal, and any reports it receives of such conduct. When legally required or at Remedee Foundation’s discretion, Remedee Foundation will cooperate with law enforcement agencies in any investigation of alleged illegal activity on this Site or on the Internet.

These prohibitions do not require Remedee Foundation to monitor, police or remove any Submissions or other information submitted by you or any other user, except that Remedee Foundation may elect to do so in its sole discretion.

You acknowledge that you are responsible for the information, profile information, messages, ratings, comments, photos, videos, graphics and other content or material that you submit, upload, post or otherwise make available on or through the Site (each a “Submission”) and through the services available in connection with this Site (such as chat boards), and that you, and not Remedee Foundation, have full responsibility for each such Submission you make, including its legality, reliability, appropriateness, and trademark and copyright ownership. Unless otherwise explicitly stated herein or in the Remedee Foundation Privacy Policy, you agree that any Submission provided by you in connection with this Site is provided on a non-proprietary and non-confidential basis. You agree that Remedee Foundation is free to use a Submission for the purpose of providing you with the associated services and you grant Remedee Foundation a sublicensable, perpetual, nonexclusive, worldwide, sublicensable (through multiple tiers), royalty-free license to (in any media, whether now known or not currently known or invented) link to, utilize, use, publicly perform, publicly display, reproduce, distribute, modify and prepare derivative works of the Submission.

However, Remedee Foundation agrees to use all of your Submissions in accordance with Remedee Foundation’s Privacy Policy applicable to personally identifiable information.

You further agree that you will not upload, post or otherwise make available on this Site any material protected by copyright, trademark, or any other proprietary right without the express permission of the owner of such copyright, trademark or other proprietary right owned by a third party, and the burden of determining whether any material is protected by any such right is on you. You shall be solely liable for any damage resulting from any infringement of copyrights, trademarks, proprietary rights, or any other harm resulting from any Submission that you make.

You represent and warrant that: (i) you own all Submissions posted by you on or through this Site or otherwise have the right to grant the licenses with respect to Submissions to Remedee Foundation set forth in this section, and (ii) the posting of your Submissions on or through this Site does not violate the privacy rights, publicity rights, trademark rights, copyrights, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, damages and any other monies owing any person by reason of any Submissions posted by you to or through this Site.

3. Making donations. If you wish to make a donation to Remedee Foundation through the Site, you may be transferred to a third party website to make such donation and may be asked by Remedee Foundation to supply certain information applicable to your donation, including, without limitation, credit card and other information. You understand that any such information received by Remedee Foundation in connection with a donation you make will be treated by Remedee Foundation in the manner described in our Privacy Policy.

You agree that all information that you provide to Remedee Foundation will be accurate, current and complete.

4. Copyright and Trademark Infringements.

Notification:

Remedee Foundation respects the intellectual property rights of others, and we ask you to do the same. Remedee Foundation may, in appropriate circumstances and at our discretion, terminate service and/or access to this Site for users who infringe the intellectual property rights of others. If you believe that your work is the subject of copyright infringement and/or trademark infringement and appears on our Site, please provide Remedee Foundation’s designated agent the following information:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  • Identification of the copyrighted and/or trademarked work claimed to have been infringed, or, if multiple works at a single online site are covered by a single notification, a representative list of such works at that site.
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled at the Site, and information reasonably sufficient to permit Remedee Foundation to locate the material.
  • Information reasonably sufficient to permit Remedee Foundation to contact you as the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which you may be contacted.
  • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright and/or trademark owner, its agent, or the law.
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Please also note that for copyright infringements under Section 512(f) of the Copyright Act, any person who knowingly materially misrepresents that material or activity is infringing may be subject to liability. Remedee Foundation has adopted a policy of terminating, in appropriate circumstances and at Company's sole discretion, members who are deemed to be repeat infringers. Remedee Foundation may also at its sole discretion limit access to the Site and/or terminate the memberships of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

5. Links. The Site contains links to other Internet web sites which may not be owned or operated by Remedee Foundation. Remedee Foundation has not reviewed all of the web sites that are linked to the Site, and Remedee Foundation has no control over such sites. Unless otherwise explicitly stated, Remedee Foundation is not responsible for the content of such web sites, any updates or changes to such sites, or the privacy or other practices of such sites, and the fact that Remedee Foundation offers such links does not indicate any approval or endorsement of any material contained on any linked site. Remedee Foundation is providing these links to you only as a convenience. Accordingly, we strongly encourage you to become familiar with the terms of use and practices of any linked site. Further, it is up to you to take precautions to ensure that whatever links you select or software you download (whether from the Site or other sites) is free of such items as viruses, worms, trojan horses, defects, dates.

6. Limitation of Liability. REMEDEE FOUNDATION, ITS AFFILIATES AND ITS SUPPLIERS WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, USE, DATA, OR OTHER INTANGIBLES, EVEN IF REMEDEE FOUNDATION, ITS AFFILIATES AND/OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE.

7. Disclaimer of Warranties. THE SITE AND THE MATERIALS AND SUBMISSIONS ARE PROVIDED TO YOU "AS IS" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. REMEDEE FOUNDATION, ITS AFFILIATES AND ITS SUPPLIERS DO NOT MAKE ANY, AND HEREBY DISCLAIM ALL, WARRANTIES THAT MIGHT ARISE FROM YOUR USE OR RELIANCE ON THE SITE (INCLUDING ANY LINKS TO OTHER WEBSITES THAT ARE CONTAINED WITHIN THE SITE) AND THE MATERIALS, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE OR THE MATERIALS OR THE SUBMISSIONS IS TO STOP USING THE SITE OR THE MATERIALS OR THE SUBMISSIONS. Although Remedee Foundation endeavors to use reasonable care in assembling the Materials, the Materials may not be up-to-date, accurate or complete.

8. Indemnity. You agree to defend, indemnify and hold harmless Remedee Foundation, its affiliates and its suppliers, and each of their respective partners, employees, representatives and agents, from and against all claims, losses, costs, damages, liabilities, and expenses (including but not limited to attorneys fees) arising out of: (a) your activities in connection with the Site; (b) any violation of this Agreement by you; (c) any improper or unauthorized use of the Materials by you; or (d) any allegation that anything you transmit through or in connection with the Site infringes or otherwise violates the copyright, trademark, trade secret, privacy, or other rights of any third party.

9. Jurisdictional Issues. The Site is controlled and operated by Remedee Foundation from its principal office in San Francisco, California, U.S.A., and is not intended to subject Remedee Foundation to the laws or jurisdiction of any state, country, or territory other than that of California and of the United States of America. Remedee Foundation does not represent or warrant that the Site or the Materials, or any aspect thereof, are appropriate or available for use in any particular jurisdiction. Those who choose to access the Site or Materials do so on their own initiative and at their own risk, and are responsible for complying with local laws. We may limit the availability of the Site to any person, geographic area, or jurisdiction we choose, at any time in our sole discretion. You agree not to transport, import, export or re-export all or any part of the Materials to (or to a national or resident of), or to use all or any part of the Materials from (as applicable): (a) any country subject to a U.S. trade embargo (currently, Balkans, Burma, Cuba, Iran,, North Korea, Sudan and Syria); or (b) any person or entity on the United States Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department’s Table of Deny Orders, and you represent, warrant, and covenant to us that you are not located in or under the control of any such country or on any such list.

10. Privacy Policy. Your use of the Site is governed by the Remedee Foundation Privacy Policy (the "Privacy Policy").

11. Governing Law and Forum. This Agreement is governed by and shall be construed in accordance with the laws of the State of California, United States of America, without regards to its principles of conflicts of law. In the event of a dispute arising under or relating to this Agreement, the Site or the Materials, you agree to the exclusive jurisdiction of the federal and state courts located in the State of California, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

12. Miscellaneous. If any provision of this Agreement is found for any reason to be unlawful, void, or unenforceable, then that provision will be deemed severable from this Agreement and will not affect the validity and enforceability of any remaining provision. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. A party's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. This, together with any of our policies referred to herein, is the entire Agreement between you and us relating to your use of the Site or the Materials, and supersedes any and all prior or contemporaneous written or oral Agreements between you and us regarding the same subject matter (except other written, fully-executed contracts between you and us). Neither the course of conduct between you and us, nor trade practice, shall act to modify any provision of this Agreement. This Agreement is not assignable, transferable or sublicensable by you except with our prior written consent.

Privacy Policy Updates

Due to the Internet's rapidly evolving nature, Remedee may need to update this Privacy Policy from time to time. If so, Remedee will post a change notice with its updated Privacy Policy on our Site and we may send registered users an email. Information Collection and Use

If you apply to be a volunteer or mentor, we may collect your name, contact data such as your address, date of birth, email address and phone number, employment, education and training information username and password. If you register as a participant on this Site or for an account on this Site, we will collect your name, email address, age or date of birth and password. We may also collect additional personally identifiable information that you voluntarily post in your user profile or in a chat room or message board. Other participant users will be able to contact you and share stories with you through the Site, search participant profiles and view the information that you have posted in your profile.

We may use your personally identifiable information to register you to use our Site, deliver certain services, goods or information you have requested, verify your authority to enter our Site and to improve the content and general administration of the Site and our services and programs.

Cookies

We may use small text files called cookies to improve overall Site experience. A cookie is a piece of data stored on the user's hard drive containing information about the user. Cookies generally do not permit us to personally identify you.

We may employ procedural and technological security measures that are reasonably designed to help protect your personally identifiable information from loss, unauthorized access, disclosure, alteration or destruction. Remedee may use password protection and other security measures to help prevent unauthorized access to your personally identifiable information.

Correction/Updating Personally Identifiable Information

Remedee provides you with the ability to review, correct and delete your contact information. If you wish to review or correct any information you have provided to us, you may submit a request to us at the contact email below or access your account online.
